MJR & Associates is a commercial and industrial sales and consulting group, providing commercial fitness sales and installation since 2010. MJR & Associates brings over 15 years of experience in fitness equipment, installation and consulting.

Experience includes projects for the University of Michigan, The Ohio State University, Ohio University, Bowling Green State University, the YMCA, Planet Fitness, Anytime Fitness and GE, as well as federal, state and municipal government facilities.

Mutual Confidentiality and Non-Disclosure Agreement

Parties: MJR & Associates, a group of MJR Industries LLC (Michael James Readdy), Michigan ("MJR"), and the person signing below and, if a company is named, that company (the "Partner"). Each is a "party."

The parties want to share information to evaluate a possible business relationship (the "Purpose"). Each party may be a disclosing party and a receiving party. By signing, both parties agree to the following.

  1. Confidential information. Any non-public information one party shares with the other about the Purpose, including pricing, customers, suppliers, products, designs, plans, territories and business terms, is confidential information of the disclosing party. It does not include information that is already public through no fault of the receiving party, that the receiving party already lawfully had, that it develops independently, or that it lawfully receives from someone else without a duty of confidentiality.
  2. Limited use. Each party will use the other's confidential information only for the Purpose.
  3. No sharing. Each party will keep the other's confidential information private, protect it with reasonable care, and share it only with its own employees or advisors who need it for the Purpose and are bound to keep it confidential. Neither party will publish or disclose it to anyone else without the other's prior written permission.
  4. No circumvention. Neither party will use the other's confidential information to go around the other party to deal directly with customers, suppliers or contacts introduced by that party.
  5. No license or obligation. Nothing in this agreement gives either party any license, ownership or other right in the other's confidential information or intellectual property. Neither party is obligated to do any deal.
  6. Return or deletion. On request, each party will delete or return the other's confidential information.
  7. Term. These obligations last three (3) years from the date signed.
  8. Remedies. Unauthorized use or disclosure may cause irreparable harm, and the injured party may seek an injunction in addition to any other remedy.
  9. Governing law. This agreement is governed by the laws of the State of Michigan.
  10. Electronic signature. Typing your full name below and checking the agreement box is your electronic signature and has the same effect as a handwritten signature. MJR's agreement is given by accepting this submission. The date is recorded automatically.
